  • Sometimes companies that are to be sold, or for which capital is to be raised, require extra assistance in becoming suitable for, or more attractive to investors.

    It may be the case that the financial management requires strengthening or a technology capability needs to be established. The value enhancement or realisation that occurs as a consequence may be very significant and the implementation of the project may be over a few months or a number of years.

    We have the internal resource, flexibility and experience to work with companies on structuring interim solutions. We also have the networks and knowledge to work with clients to find the right long-term management team and board members that will help optimise outcomes.

    In most circumstances we work with businesses where the business model has already been proven and is revenue generating. We do not work with start-ups and typically don’t become involved before a Series A fund raising.

    We provide an extensive range of investor relations advice to our clients to ensure timely, relevant and transparent communication with their shareholder base while adhering to regulatory requirements.

    Our dedicated institutional broking teams have extensive relationships with small to mid-market fund managers, family offices and high net worth investors and we work closely with retail stockbrokers to enhance our distribution across retail investor networks.

    We provide stockbroking services across all ASX listed equities utilising the FinClear trading platform.

    In our capacity as corporate broker we provide support with:

    • Capital markets advice including all aspects of investor relations, ASX listing and disclosure rules;
    • Preparation of announcements, Annual Reports, Prospectus, investor presentations
    • Stakeholder communications of the investment case by our sales team;
    • Coordination of roadshows (domestic and international);

    Prior to founding Henslow, Scott was the Director of Growth and Acquisition Finance for Investec Bank. Previous to his role at Investec, Scott was a Director of Transaction Services at Pitcher Partners (Melbourne) along with spending 5 years in the UK as an Associate Director at Smith and Williamson, one of the UK’s leading investment and accounting firms.

    Scott was previously a Non-Exec Director of Techdrill Civil and Mining Services and a member of the Institute of Chartered Accountants in Australia. Founding Member and past President (2007 and 2018) of the Irvine Club Inc, an association which operates business networking events and to date raising over $3m for under-funded and under-exposed charities.

    Before co-founding Henslow, Chris was the APAC CFO as well as head of Strategy and Acquisitions for WHSmith Plc, where he led the acquisitions of the Australian based Angus and Robertson and New Zealand based Whitcoulls, culminating in the divestment of the combined business to a large private equity firm. Before this, Chris was a director at Deloitte in the UK and New York.

    Chris is the chairman of Henslow’s investee companies, the ASX listed Atomos and privately held, Credo. Weekends are spent with his wife and four children interspersed with the occasional over 45’s soccer match.

Stephen has advised on over 300 transactions worth more than A$2.0bn across a range of markets, sectors and clients over the past 5 years. A trusted adviser to Boards, shareholders, CEOs and other senior management.

    • Advised Hansen Technologies (ASX:HSN) on their $40m Placement and subsequent $10m SPP.
    • Assisted BigTinCan Holdings (ASX:BTH) with several capital raises, to the value of over $240.0m including their listing on the ASX
    • Provided QMS Media (ASX:QMS) with investor relations support and extensive market education, while assisting with capital raises in excess of $180m.

    Prior to joining Henslow, Stephen previously worked at EL&C Baillieu as Director, Head of Corporate Finance. Prior to this Stephen worked with ABN AMRO Morgans/ABN AMRO Rothschild in the equity capital markets for ten years from 2000.

    Previously Jonathan was a Director and the Head of Corporate Finance at Austock Group, a role he held for over 10 years. Before this, Jonathan worked in the corporate departments of two other brokerage firms in Melbourne and Perth and with an international firm’s corporate planning and development arm.

    Jonathan is currently Chairman of Sensera Ltd (ASX:SE1) and a Director of Hemideina. Jonathan is also a member of the Melbourne Angels, an early-stage investor group focused on high-growth Australian businesses.     Prior to joining Henslow, Andrew was the Australian head of Natural Resources (metals and mining, oil and gas, power) at Nomura and predecessor firms Lehman Brothers and Grange Securities. Prior to this Andrew was a successful entrepreneur, founding a successful technology firm and a management consultant with Booz Allen.

    Andrew holds a Bcom (Hons) from the University of Western Australia, a MA from the University of Oxford and is a Fellow of the Australian Institute of Company Directors.

After 5 years working in professional services, James moved across to commercial finance within Coles and became the Finance Business Partner of Coles Brand. After two successful years at Coles, James took the opportunity to move to London and work as both the Head of Finance at Browns the subsidiary of Farfetch, a private equity backed luxury fashion retailer and Financial Controller of Lipsy, a multi channel retailer which had been recently acquired by multinational retailer Next plc (FSTE 100).

    Sebastian has 12 years professional experience in capital markets providing advisory and execution services across equity capital markets, debt markets and mergers and acquisitions in both listed and unlisted markets.

    Sebastian has broad experience having worked on over 300 transactions –  worth more than A$2.0bn – across a range of sectors including industrials, technology, financial services and natural resources.

    Recent notable transactions include:

    • Advised Bigtincan Holdings (ASX:BTH) on their $136m capital raise to fund their acquisition of Brainshark Inc
    • Advised Challenger Exploration (ASX:CEL) $20m capital raise to fund further exploration and development
    • Advised Powerwrap (ASX:PWL) on pre-IPO, IPO and off-market takeover by Praemium (ASX:PPS)

    Prior to joining Henslow, Sebastian was a Director and Associate Director of corporate finance at E.L. & C. Baillieu Limited from 2011 to 2020 and also worked in wholesale debt markets and sovereign debt management at the Australian Office of Financial Management. During this time he was involved in Government Bond Issuance, Treasury Note Issuance, Short Term Investments, RMBS Issuance and management of Australian Government balance sheet and cash flow.

    Sebastian holds a Bachelor of Business (Economics Finance) Honours First Class from RMIT University.

    Paul has over 30 years professional experience providing independent corporate advisory services to large public and private clients. Paul has acquired extensive international reach through being country head since 1995 for Oaklins.

    Paul has a broad knowledge base with particular experience in metals & mining, energy, gaming, hospitality, services and general industrials.

    • Advised Maggie Beer Foods on its divestment to Longtable Group (ASX:MBH)
    • Advised Magellan Petroleum Australia during its merger via public company takeover and listing on NASDAQ
    • Advised Byron Energy on debt and equity raisings and joint venture arrangements in its path to becoming a Gulf of Mexico oil and gas producer

    Prior to Henslow, Paul was a divisional director of Morgan Grenfell, an international merchant bank that merged with Deutsche Bank.

    He is a director of the ASX listed Ambition Group, Byron Energy and HKEX, listed Left Field Printing Limited, and a former Chairman of Peter Lehmann Wines. He has a Masters Degree in Economics from Cambridge University and an Advanced Diploma in Corporate Finance. He is a Fellow of the Institute of Chartered Accountants in England and Wales and is a Foundation Fellow of the Australian Institute of Company Directors.

    Adam has over 3 years’ experience working as a financial analyst in the commercial broking industry. Now working in the Equity Markets research team, his interests align with the Financials and Medical sectors.

    Prior to joining Henslow in 2021, Adam worked as a Financial Analyst for AllFin Financial, a commercial broker specialising in the healthcare industry where he completed business valuations and analysed business financials. Throughout this time, Adam developed strong financial analytical skills and a deep understanding of debt and equity structuring.

    During and prior to Adam completing his Bachelor of Commerce (Accounting and Finance) degree at Monash University, he competed at a high level of swimming for over 10 years, in the Junior Australia team from the age of 14. Adam has re-directed the hard work and dedication that this level required into his professional career. Outside of Henslow, Adam enjoys surfing, golf and is an avid sports fan.

    Tyson recently completed post-graduate studies in Finance through Victoria University and commenced his corporate finance career with an internship at Henslow. Tyson has since joined the Henslow team in a permanent capacity as an analyst in the Markets, Research team.

    Previously, Tyson served in the Australian Defence Forces Special Operations Command with the 2nd Commando Regiment and still maintains linkages through his reserve service. During his career with the ADF, Tyson was deployed on operations overseas and within Australia where he gained experience in counterterrorism, geopolitics and defence. Tyson also has a background in civil engineering, having studied at RMIT.

    Tyson plans to translate his military experiences and leadership qualities gained into a professional corporate finance career. Outside his passion for Defence, Tyson enjoys AFL, American sports and playing a round of golf.

    Warren has over 35 years experience in funds management and stockbroking.

    Warren’s primary focus is on the mining sector through the analysis of listed and unlisted Australian mining companies. He has extensive experience in the iron ore, coal and uranium commodity markets.

    He is a geologist by profession and his interest in the economics of mine developments led him to pursue a career in stockbroking as an analyst and in fund management a resources portfolio manager.

    Warren spent 8 years as Portfolio Manager for Colonial’s resource sector and went on to spend 16 years with RBS Australia (ABN AMRO Australia) analysing the global majors like BHP & RIO and a broad range of Australian gold and industrial mineral producers, developers and explorers. Warren also had the responsibility for RBS’s Global iron ore, coal and uranium commodity and industry analysis. Following the closure of the RBS business, he spent 5 years researching small cap miners for EL&C Baillieu.

    Warren has a Bachelor of Applied Science (Geology) from RMIT, a Master of Science (Earth Sciences) from Monash University, He is a Graduate of the Australian Institute of the Company Directors company directors course and has lectured and was a member of the FINSIA/Kaplan Mining Investment Analysis taskforce. Warren is also a Member of the Australian Institute of Mining and Metallurgy (MAusIMM) and Member of the Australian Institute of Geoscientists (MAIG).

    Valentin worked in tax and business advisory services at Deloitte before moving to the M&A corporate advisory team at SW Australia where he became a Manager. He joined Henslow in 2021.

    Valentin is a CFA® charterholder and a qualified Chartered Accountant. Outside of work, Valentin enjoys running, travelling and snowboarding.

    Peter has extensive experience having advised clients in sectors including technology, recruitment, business services, agribusiness (sugar, grains, wine), waste management, oil & gas, minerals, facilities maintenance, media (outdoor advertising, newspapers, radio, television), engineering services and healthcare (imaging diagnostics, private hospitals).

    Peter previously held senior positions in the corporate advisory team of Hambros Australia, following on from advisory experience gained with boutique merchant bank Gresham Partners and audit and accounting roles with Deloitte in the UK and Australia.

    Peter has a Bachelor of Arts degree from Strathclyde University and is a qualified chartered accountant with the Institute of Chartered Accountants of Scotland. He also successfully completed the membership qualifications for the Financial Services Institute of Australasia.

    Anton Jovanovic has over 20 years’ experience working across various industries such as technology, retail, food and beverage, sport, health, mining services and automotive.

    Commencing his career in finance, Anton then worked for Ford Motor Company before becoming a Director of a large retail automotive group. More recently he moved into management consulting helping a variety of companies in various industries. Prior to joining Henslow, Anton worked in technology with Catapult Sports helping them buy various companies and integrating them into the global business.

    Anton’s experience has enabled him to develop a strong operational and strategic background with extensive experience in buying and integrating companies. His skills focus on strategic and operational advice which often includes execution, mergers and acquisitions, as well as private capital raises.

Ben is also a member of the Institute of Chartered Accountants ANZ.

    Ben loves his sport, particularly AFL and the Essendon Football Club. He is also heavily involved in the Robert Connor Dawes Foundation, a charity set up after his close friend passed away from brain cancer.
