  • Sometimes companies that are to be sold, or for which capital is to be raised, require extra assistance in becoming suitable for, or more attractive to investors.

    It may be the case that the financial management requires strengthening or a technology capability needs to be established. The value enhancement or realisation that occurs as a consequence may be very significant and the implementation of the project may be over a few months or a number of years.

    We have the internal resource, flexibility and experience to work with companies on structuring interim solutions. We also have the networks and knowledge to work with clients to find the right long-term management team and board members that will help optimise outcomes.

    In most circumstances we work with businesses where the business model has already been proven and is revenue generating. We do not work with start-ups and typically don’t become involved before a Series A fund raising.

  • Corporate Broking is our advisory business which supports listed clients on a broad range of advice including ASX listing obligations, investor relations and share register compositions.

    We provide an extensive range of investor relations advice to our clients to ensure timely, relevant and transparent communication with their shareholder base while adhering to regulatory requirements.

    Our dedicated institutional broking teams have extensive relationships with small to mid-market fund managers, family offices and high net worth investors and we work closely with retail stockbrokers to enhance our distribution across retail investor networks.

    We provide stockbroking services across all ASX listed equities utilising the FinClear trading platform.

    In our capacity as corporate broker we provide support with:

    • Capital markets advice including all aspects of investor relations, ASX listing and disclosure rules;
    • Preparation of announcements, Annual Reports, Prospectus, investor presentations
    • Stakeholder communications of the investment case by our sales team;
    • Coordination of roadshows (domestic and international);
    • Share registry development and optimisation; and
    • After-market support for IPOs and off market trading to support equity placements (including institutional block trades).

    The corporate broking team aims to develop share registers to support capital raisings, fund acquisitions and growth strategies and provide liquidity as the company develops.

    Scott has 24+ years professional experience across corporate advisory, investment banking and chartered accounting working primarily with small–mid market private and public growth businesses.

    Scott has developed strong industry knowledge and transactional experience within the food & beverage and transportation/logistics sectors having advised on and completed a number of significant transactions.

    Previously, Scott was the Director of Growth and Acquisition Finance at Investec Bank Plc where he advised on debt and equity solutions for small and mid-market companies.

    Prior to Investec, Scott was a Director of Transaction Services at Pitcher Partners (Melbourne), a position he accepted after moving back to Australia following 4 years in the UK as an Associate Partner at Smith & Williamson, one of the UK’s leading accounting firms.

    Scott is a member of the Institute of Chartered Accountants in Australia and was previously a Non-Exec Director of a private equity-backed mining services company.

    Ryan has 23+ years professional experience within corporate finance, stock broking, private equity and research roles with a focus on both listed and unlisted companies.

    Over his career, Ryan has gained considerable experience within the general industrial and health care sectors and has a strong track record of building and investing in entrepreneurial and family-owned businesses.

    Prior to Henslow, Ryan was the Chief Operating Officer (COO) of Austock Group, overseeing the Corporate and Securities, Property and Asset Management, Private Equity and Life Insurance businesses.

    Prior to becoming COO, Ryan was an Executive Director of Austock Securities and Corporate businesses and established and ran the Private Equity operations. Ryan was also responsible for growing the Research department from zero to 20+ employees whilst maintaining profitability and positioning it as Australia’s highest rated non-bulge bracket Research department.

    Ryan is currently a Non-Executive Director of Boardroom Pty Ltd, a growing tech-focused share registry and corporate secretarial company, as well as Red Door, an emerging food wholesaler.

    Outside of work, Ryan is a keen golfer who is gradually working on improving his handicap down to single figures.

    Justin has been a director of a number of listed and unlisted companies in Australia and UK. Justin has a passion for working with entrepreneurs, helping them manage growth and scale their business effectively, especially in the listed environment.

    He has been actively involved in a number of IPOs and larger capital raisings for Henslow and is interested in working with under-covered high growth listed companies.

    Justin was educated in England at the University of Newcastle Upon Tyne and is a Fellow of the Chartered Institute for Securities and Investment.  As well as being a co-founder of Henslow, he is Chairman of Henslow investee company Neo Products.

    Chris has been advising local and multinational companies for more than 25 years.

    Commencing his career with Deloitte’s London office, where he became a director, he became the head of Strategy and Acquisitions for WHSmith PLC, before moving to Melbourne in 2001 to become the regional CFO for WH Smith Asia Pacific which included the acquired businesses Angus and Robertson and Whitcoulls. After successfully exiting those businesses for WH Smith in 2004, he left the large corporate world and became an active investor and strategic adviser to small and medium sized growth companies. He is one of the founders of Henslow, establishing the company in 2011.

    Chris’s experience spans a large number of private and public enterprises. His skills focus on general strategic advice, mergers and acquisitions (both sell side and buy side), private capital raises and transaction structuring. He has advised across many industries but has particular knowledge and expertise in the retail, tourism, media and technology sectors.

    He was educated in England, attended City University, London and is a qualified chartered accountant.

    Chris is a co-founding director of Henslow and chairman of Henslow investee companies, Atomos, Neo Products and Credo.

    Sebastian began his career in Los Angeles with New Century Capital Partners in corporate advisory where he primarily assisted on transactions in the medical device field. After moving back to Australia, he joined Henslow in 2015 working primarily within their corporate team advising on M&A and capital raisings.

    Whilst at Henslow, Sebastian has worked on a broad range of transactions across both the private and public markets building key skills to better advise clients throughout a transaction process.

    He holds a Bachelor of Science in Economics from California Polytechnic State University in San Luis Obispo, CA.

    Having an interest in the hospitality sector, Sebastian would one day like to open a hospitality venue. Enjoying the occasional game of tennis, he is also a member of Royal South Yarra Tennis Club.

    Prior to joining Henslow, Paul was a co-founder and director of Baron with over 30 years’ experience of providing independent corporate advisory services. Paul has acquired extensive international reach through being country head since 1995 for Oaklins and, prior to founding Baron in 1987, as a divisional director of Morgan Grenfell, an international merchant bank.

    Paul has a Masters Degree in Economics from Cambridge University and an Advanced Diploma in Corporate Finance. He is a Fellow of the Institute of Chartered Accountants in England and Wales and is a Foundation Fellow of the Australian Institute of Company Directors.

    He is a director of the ASX listed Ambition Group, Byron Energy and HKEX, listed Left Field Printing Limited, and a former Chairman of Peter Lehmann Wines.

    Nick returned to Henslow in 2017 following two years working in the UK where he advised clients on transactions across the UK, Europe, USA, South America, Asia and Australia. In the UK, Nick worked at KPMG in their M&A team and for a private equity owned media company as an M&A manager.  Nick originally joined Henslow in 2012 and prior to this commenced his career with PwC.

    Nick has over 9 years M&A experience advising corporate, private equity and HNW clients on a range of complex buy-side, sell-side and capital raising engagements.  Nick’s international experience was focused on the Technology, Media and Consumer Goods & Retail sectors.

    Nick is a member of the Institute of Chartered Accountants in Australia and has completed a Masters in Applied Finance and Bachelor of Commerce.

    Nick is a keen surfer and enjoys spending his weekends down on Victoria’s Surf Coast.

Prior to that, Tina had worked at Ping An Asset Management Co., Ltd., China’s second largest asset management company, in Shanghai. She also held internship experience at Morgan Stanley and Ernst & Young.

    Tina’s experience spans mergers and acquisitions (both sell side and buy side), capital raises and direct investments across infrastructure, real estate and municipal sectors.

    Tina holds a Bachelor of Commerce (Honours) and a Master of Finance degree from the University of Melbourne. She was a visiting student to Stern School of Business, New York University in 2011.

    Tina is proficient in English, Mandarin and Cantonese. She enjoys playing tennis and practising yoga in her spare time.

    Steve is the Chairman of Blackmores and an independent director of ANZ Wealth Group, a subsidiary of the ANZ Bank. He is a former Deputy Chairman of Perpetual.

Prior to joining Henslow, Anton worked in technology with Catapult Sports helping them buy various companies and integrating them into the global business.

    Anton’s experience has enabled him to develop a strong operational and strategic background with extensive experience in buying and integrating companies. His skills focus on strategic and operational advice which often includes execution, mergers and acquisitions, as well as private capital raises.

    While still at university, Spencer interned at Canaccord Genuity and Paragon Funds Management as an analyst. During this time, he developed a range of knowledge and skills which fuelled his passion for financial markets, investing and entrepreneurship. After graduating from Monash University with a Bachelor of Laws (with Honours) and Bachelor of Commerce (Finance), Spencer began working with PricewaterhouseCoopers. During this time, Spencer gained valuable experience in financial analysis, modelling, and valuation.

As a Senior Associate at EY Thomas specialised in consultancy and audit services, heading up flagship audits for clients such as UBS and AMP.

    After EY, Thomas followed his interest in investment as an Associate at boutique asset investment firm C2 Capital where he was involved in a range of deals amounting to over $1 billion of capital raising.

    Thomas holds a Bachelor of Commerce (Distinction) with a major in finance and management from the University of Melbourne. He combines his exposure to large-scale clients with his financial knowledge to ideate creative investment strategies at Henslow. Thomas seeks to learn from the best and sees his client’s potential for growth is endless.

    Commencing his career with KPMG’s Melbourne office, James worked within the consumer & industrial markets and energy & natural resource sectors, on various size clients which included BHP Billiton, Incitec Pivot, Toll Group, Rip Curl Group, BMW Australia and Hawthorn Football Club. After 5 years working in professional services, James moved across to commercial finance within Coles and became the Finance Business Partner of Coles Brand. After two successful years at Coles, James took the opportunity to move to London and work as both the Head of Finance at Browns the subsidiary of Farfetch, a private equity backed luxury fashion retailer and Financial Controller of Lipsy, a multi channel retailer which had been recently acquired by multinational retailer Next plc (FSTE 100).

    After a brief time as a lawyer with Jerrard & Stuk, Antony spent 7 years with Rothschild including two years in the Group’s New York office. He then spent 9 years as a director at SLM Corporate. After 3 years as an Executive Director managing Keybridge Capital, Antony joined Henslow as part of the Corporate and Capital teams.

    Antony’s experience spans a diverse range of transactions and corporate advisory roles across both small and large public companies and private enterprises. His skills focus on general strategic advice, mergers and acquisitions (both sell side and buy side), private capital raising and transaction structuring. He has advised across many industries but has particular knowledge and expertise in the telecoms, technology, retail, and business services sectors.

    Antony is currently a director of MSP Photography (Australia’s premier School Photography company), and has been a director of a number of small ASX listed companies including Dotz Nano and PTB Group.     Karl Warrener has spent the last 4 years in financial services working for a European start-up and Australian retail banking ecosystems.

    Karl started his career whilst studying as a relationship advisor with Australia’s first B Corp accredited financial institution, Beyond Bank.

    After Graduating with a Bachelor of Commerce majoring in International Business it seemed only right to test his knowledge overseas and move to Berlin. After arriving in Germany, Karl began working for N26 – one of the fastest-growing mobile banks in Europe. After spending two years living in Europe, Karl returned home to Canberra where he started his new adventure at Henslow’s Canberra office.

    Karl’s passion lies in working closely with founders in both technology, building and construction industries.

    Karl also picked up a passion for European handball whilst overseas and he is now volunteering with ACT handball to establish grassroots development of the sport here in Australia.

    Jonathan has 25+ years professional experience in corporate finance and public markets with a core expertise in ECM and M&A, primarily servicing small to mid-market companies and with particularly strong sector expertise within FMCG, financial services and technology.

    Over this period, Jonathan has been involved in over 20 IPOs, ECM transactions that have collectively raised in excess of $2.5B, and M&A transactions with a combined enterprise value exceeding $2B.

    Prior to Henslow, Jonathan was a Director and the Head of Corporate Finance at Austock Group, a role he held for over 10 years.

    Previously, Jonathan worked in the corporate departments of two other Tier 2 brokerage firms in Melbourne and Perth and with The international firm’s corporate planning and development arm.

    Jonathan is currently a Non-Executive Director of ASX-listed – Austock Group (ASX:ACK), Vita Life Sciences (ASX:VSC) and Sensera Ltd (ASX:SE1).

    Jonathan is also a member (Chair of the investment committee) of the Melbourne Angels, an early-stage investor group focused on high-growth Australian businesses

    Jonathan is an avid ice hockey player and spends his weekends managing a small farm in country Victoria.

    Noel began his career at Deloitte Private, building his skills and knowledge to become a senior analyst.

    Since Deloitte, Noel worked as a client advisor for  Maxim Chartered Accountants. During his time at Maxim, he worked with the National Disability Insurance Scheme to develop a population modelling tool. Noel then moved to P2 Advisory in Canberra where he has spent the last 3 years as senior client advisor and manager. This is where he found his passion for data and renewable energy.

    Noel holds a Bachelor of Applied Economics and a Bachelor of Commerce with a major in accounting from the University of Canberra. He thrives on understanding the key drivers of a business by using their collected data to report and forecast.

    When he’s not crunching numbers and plotting graphs, you’ll likely find Noel in the gym training in mixed martial arts or out in the ocean, training for his next long-distance ocean swim.

    Paul was a founding Director and shareholder of Paradigm Capital which was a boutique Corporate Advisory firm which raised seed capital, private equity and was the corporate advisor to two companies that listed on the ASX along with many ASX listed small and mid-cap mining companies. Paradigm was very active and successful in raising money via share placements to both sophisticated investors and institutions until it was sold in July 2007.

    Paul was recently a director of Proserpine Partners Pty Ltd, which is a private equity business which also provides a range of services including capital raising and general corporate advice. Paul is also a non-executive Chairman of the ASX listed Terrain Minerals Ltd and non-executive acting Chairman of ASX-listed Alligator Energy Ltd.
