We are focused on results driven advice across public and private markets, providing clients with tailored solutions across multiple industry sectors
We have significant experience advising on the sale of businesses across a diverse range of sectors for entrepreneurs, family offices, corporates and institutional investors.
Our private and public market capabilities place us in a unique position to advise not only on a sale but to also bring the competitive tension of a capital raise alongside the sale process as a “dual-track” process.
We manage the overall transaction and work closely with our clients advising on:
We draw upon our expansive local and global network of industry contacts to help identify potential acquirers with the capability, funding and experience to complete the transaction.
We have assisted companies ranging from local businesses to large multi-national organisations on their acquisition strategies including many multi-acquisition processes.
We utilise our extensive networks and research capabilities to source acquisition targets for our clients supporting them in the development of their acquisition strategy and then assisting on the analysis, negotiation and settlement of the transaction.
We have a strong track record in assisting large multi-nationals to “bridge the gap” and acquire high growth mid-market entrepreneurial companies.
Our strong capital raising capabilities and networks across both the debt and equity capital markets allow us to assist on financing the acquisitions.
Our corporate team has advised on both sides of public company takeovers including advising corporate and private equity buy-side clients. We project manage the complete transaction, including:
We also provide strategic advice to public and private companies on more general areas, including:
Sometimes companies that are to be sold, or for which capital is to be raised, require extra assistance in becoming suitable for, or more attractive to investors.
It may be the case that the financial management requires strengthening or a technology capability needs to be established. The value enhancement or realisation that occurs as a consequence may be very significant and the implementation of the project may be over a few months or a number of years.
We have the internal resource, flexibility and experience to work with companies on structuring interim solutions. We also have the networks and knowledge to work with clients to find the right long-term management team and board members that will help optimise outcomes.
We work with a broad range of businesses to raise capital across all stages of the business evolutionary lifecycle from early stage through to growth, acquisition and pre-IPO funding in the form of debt, equity or hybrids.
In most circumstances we work with businesses where the business model has already been proven and is revenue generating. We do not work with start-ups and typically don’t become involved before a Series A fund raising.
We can assess and present with a wide range of funding options including venture capital, family offices, high net worth individuals and debt providers and assist our clients to structure and negotiate favourable commercial funding terms, which provides longevity for the business and its new investors.
We advise and assist our clients to achieve optimal capital management outcomes through delivering the most effective forms of capital including:
Through our senior team, we are able to access an extensive network of institutional, private equity, venture capital, family office and high net worth investors.
Our networks cover both domestic markets as well as most capital centres in Asia, Europe and the USA.
We have a strong track record acting as the lead manager and corporate adviser on a range of IPOs and secondary issues, securing development and growth capital for small to mid-market companies.
With our focus on understanding the business, we carry out extensive due diligence on the companies that we raise capital for and once comfortable with the investment thesis, we will partner with other appropriate advisers if and when required in order to achieve the best outcome for our client. Ultimately our focus is to seek the best source of capital that meets both the company and the investors’ needs.
Under our AFSL, we also have the capability to underwrite our public company capital raisings providing certainty to stakeholders.
